Item 8.01. Other Events

On November 7, 2019, the Board of Directors of United Parcel Service, Inc. (the “Company”) amended the policy, as set forth in the Company’s Corporate Governance Guidelines, regarding the frequency of future shareowner advisory votes to approve the Company’s executive compensation (often referred to as “say on pay” votes). As a result, the Guidelines now provide that say on pay votes will be held every year (on an annual basis) instead of every three years (on a triennial basis). The next say on pay vote will be held at the Company’s 2020 Annual Meeting of Shareowners. The next vote on the frequency of future say on pay votes will be held no later than the Company’s 2023 Annual Meeting of Shareowners.
